Introduction
These Terms of Service ("Terms") govern your access to and use of Opticue, including opticue.app, dashboard.opticue.app, related websites, applications, integrations, APIs, software, and associated services (collectively, the "Services").
Opticue is owned and operated by Coding Hands Infotech LLP ("Coding Hands," "Opticue," "we," "us," or "our").
By accessing, using, registering for, subscribing to, or otherwise using the Services, or by executing an order form, subscription agreement, or enterprise commercial agreement referencing these Terms, you agree to be bound by them.
1. Eligibility and Acceptance
Opticue is a business-to-business software platform intended for commercial and organizational use.
If you access or use the Services on behalf of a company, organization, franchise, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms.
The Services are not intended for children or individuals below the legally applicable age required to provide valid consent.
2. Description of Services
Opticue is a customer experience operations platform that may include customer feedback ingestion, review monitoring, workflow automation, ticket management, analytics, reporting, surveys, integrations, AI-assisted processing, messaging workflows, and related operational features.
We may modify, enhance, discontinue, restrict, or replace features at our discretion.
3. Account Registration and Security
You are responsible for maintaining credential confidentiality, authorized access management, activity under your accounts, and notifying us of unauthorized access.
Authentication methods may evolve over time including email/password, SSO, and MFA.
Customer administrators remain responsible for internal access governance.
4. Commercial Terms
- Services may be offered through free trials, recurring subscriptions, usage-based pricing, and enterprise agreements.
- Billing fees are exclusive of taxes unless stated otherwise.
- Late or failed payments may result in suspension or termination.
- Free trials may be limited or terminated at any time.
Refunds:
- Eligible self-service paid subscription plans may qualify for a one-time 30-day money-back guarantee from the initial paid subscription purchase date, subject to fair use review, abuse prevention safeguards, and plan eligibility conditions.
- Enterprise/custom agreements are excluded unless otherwise expressly agreed.
- Except where required by law or expressly stated by us, fees are non-refundable.
- Enterprise agreements override conflicting public terms where expressly agreed.
5. Customer Responsibilities
You are responsible for lawful use, legal authority over submitted data, compliance with applicable laws, user governance, accurate account information, and responsible integration use.
6. Acceptable Use Restrictions
You may not violate law, upload malicious code, interfere with platform security, attempt unauthorized access, scrape content, reverse engineer except where legally permitted, abuse APIs, send unlawful communications, infringe rights, process data without authority, or engage in fraud.
7. Third-Party Services and Integrations
The Services may interact with third-party providers including cloud infrastructure, payment processors, communication platforms, review platforms, analytics tools, authentication providers, monitoring tools, AI providers, messaging services, and APIs.
Third-party functionality may change independently.
8. AI-Assisted Features
Certain features may use AI for categorization, summarization, sentiment analysis, routing, automation, workflow assistance, and reporting.
AI outputs may be probabilistic or inaccurate. Customers remain responsible for business decisions.
AI providers may change over time.
Customer data is not intended to train third-party general-purpose external AI models unless explicitly disclosed otherwise.
9. Customer Data
Customers retain ownership of Customer Data.
You grant limited rights necessary for hosting, processing, analysis, storage, transmission, security, legal compliance, and service delivery.
10. Aggregated and De-Identified Data
We may use aggregated, anonymized, de-identified, statistical, or non-customer-identifiable operational data for improvement, optimization, benchmarking, development, and security.
11. Intellectual Property
All rights in the Services remain owned by Coding Hands Infotech LLP and licensors.
12. Confidentiality
Each party will protect confidential information using reasonable safeguards.
13. Security
We implement commercially reasonable safeguards including access controls, secure hosting, encryption where appropriate, monitoring, logging, and governance.
No internet-based service can be guaranteed completely secure.
14. Suspension and Termination
We may suspend or terminate for non-payment, fraud, trial abuse, security risks, misuse, legal obligations, or violations.
Customers may terminate per subscription or contract terms.
15. Data Retention and Deletion
Customer Data may be retained for up to 30 days after termination as part of standard operational grace periods, subject to longer retention for backups, legal compliance, fraud prevention, disputes, investigations, recovery, or contractual obligations.
Enterprise agreements may differ.
Data export is not guaranteed unless expressly agreed.
16. Service Availability
Services are provided "as available" and "as is."
No uninterrupted availability, uptime guarantees, or public SLA unless expressly agreed.
17. Disclaimer of Warranties
To the maximum extent permitted by law, implied warranties are disclaimed.
18. Limitation of Liability
Coding Hands Infotech LLP shall not be liable for indirect or consequential damages.
Aggregate liability is capped at fees paid during the preceding 12 months unless otherwise required by law or agreed.
19. Indemnification
Customers agree to indemnify Coding Hands for claims arising from customer data, misuse, unlawful conduct, regulatory non-compliance, or infringement.
20. Force Majeure
Neither party is liable for delays caused by events beyond reasonable control.
21. Governing Law and Jurisdiction
Governed by the laws of India.
Exclusive jurisdiction: courts in Ernakulam, Kerala, subject to applicable law.
22. Changes to Terms
We may revise these Terms periodically. Continued use constitutes acceptance.
